Software License Agreement

Effective Date: 03/05/2025

This Software License Agreement (“Agreement”) is entered into between the purchaser (“Licensee”) and PestoSoft OÜ (“Licensor”), governing the use of the Easy Coin software and codebase.

1. Grant of License
Upon full payment of the Full Code Ownership plan ($25,000), the Licensor grants the Licensee a non-exclusive, perpetual, and transferable license to use, install, host, modify, and commercially deploy the Easy Coin software.

2. Permitted Use
Licensee may:
- Use the software for personal or commercial purposes
- Modify, adapt, and extend the source code
- Deploy the software on any compatible infrastructure
- Rebrand and resell the software under their own identity

3. Restrictions
Licensee may not:
- Misrepresent Easy Coin as their original creation without modification
- Resell the software in original form without meaningful modification
- Violate any third-party APIs or platforms’ terms (e.g., Binance)

4. Intellectual Property
All original rights, including proprietary algorithms and designs, remain the property of PestoSoft OÜ. This license does not constitute a sale of intellectual property.

5. Support and Updates
Licensor provides the initial source code "as is." No ongoing support, updates, or maintenance is guaranteed. Updates may be offered under a separate support agreement.

6. Confidentiality
Licensee agrees to maintain confidentiality over non-public documentation and licensing terms provided by Licensor.

7. Termination
This Agreement will remain in effect unless terminated. Breach of terms may result in license revocation. In such cases, all copies must be destroyed and access removed.

8. No Warranty
Software is provided without warranty of any kind. Licensee assumes all responsibility for deployment and compliance with laws.

9. Governing Law
This Agreement shall be governed by the laws of the Republic of Estonia. Any disputes will be subject to the exclusive jurisdiction of Estonian courts.
